Terms of Service

These Terms govern your access to and use of Upivia (the “Service”), operated by Upivia. By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility. You must be at least 18 years old and able to enter a binding contract.

2. Account. You are responsible for keeping credentials secure and for all activity under your account. You agree to provide accurate information.

3. Acceptable use. You agree not to (a) use the Service for unlawful purposes, (b) attempt to bypass policy or budget enforcement, (c) reverse engineer the Service except to the extent permitted by law, or (d) use the Service to send unsolicited bulk communications.

4. Service execution. The Service brokers calls to third-party providers (email, SMS, voice, AI inference, etc.) and charges you per execution. You are responsible for the content of all requests your agents make.

5. Fees. Plan pricing is shown on /pricing and may change with 30 days' notice. Usage-based fees are debited from your prepaid balance at the time of execution. You are responsible for applicable taxes, except taxes on Upivia’s net income.

6. Refunds. Unused prepaid balance is refundable for 30 days after top-up, minus any executed usage. Plan fees are non-refundable.

7. Termination. Either party may terminate at any time. We may suspend the Service immediately for breach of these Terms.

8. Disclaimers. THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. Upivia does not guarantee uninterrupted availability or that an agent will produce a particular result. You remain responsible for reviewing agent actions and outputs.

9. Limitation of liability. To the maximum extent permitted by law, Upivia is not liable for indirect, incidental, or consequential damages. Aggregate liability is capped at the amount you paid in the prior 12 months.

10. Changes. We may update these Terms. Material changes will be announced via email or in-app at least 14 days before they take effect.

11. North American consumer rights. Nothing in these Terms limits non-waivable rights available to consumers under the laws of their state, province, or territory. Canadian consumers retain rights under applicable federal and provincial consumer-protection laws, including Quebec consumer law where applicable. U.S. consumers retain rights under applicable federal and state law.

12. Governing law. Unless mandatory law in your place of residence requires otherwise, these Terms are governed by the laws applicable to Upivia’s contracting entity. Any dispute process will not remove mandatory consumer rights available in your jurisdiction.
